These Terms of Use (“Terms”), together with any documents expressly incorporated by reference in these Terms, represent an agreement between you (the "user," "you," "your'') and MyNebor (“MyNebor,” “we,” “our” or “us”), and contain the terms and conditions that governs your access to and use of our products and services, including our websites, mobile applications, or other online features (collectively, our “Platform”), whether as a guest or registered user.

Your use of and access to our Platform are subject at all times to these Terms and our Privacy Policy. Please read these Terms and our Privacy Policy carefully. By using or accessing our Platform, you represent that you have read and understand these Terms and our Privacy Policy and you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions of these Terms and our Privacy Policy, do not use or access the Services.

MyNebor may offer the Services (as defined below) by exclusively integrating third-party platforms or websites. These third-party platforms or websites might have their own terms of service and Privacy Notice. MyNebor’s Terms of Service incorporate by reference all notices, policies, and other content that appear on our website at https://MyNebor.com/ and third-party websites.

Interpretation

The following definitions and interpretation will apply in this Agreement:

  1. “Account” means a MyNebor Account created on our Platform
  2. “Data Protection Legislation” – Nigerian Data Protection Act including the Nigerian Data Protection Regulation 2019, and all other applicable legislations and regulatory requirements in force from time to time which apply to a party, all relating to the use of Personal Data;
  3. “Documentation” – the documents, guides and other media made available to you by us online at https://MyNebor.com/ or at any other web address notified by us to you or through mobile application, which set out a description of the Services and any user instructions for the Services;
  4. “Effective Date” – the date of your first use of and/or access to the Platform;
  5. “Personal Data” – has the meaning defined in the Privacy Notice or Data Protection Legislation;

MyNebor Services

MyNebor is a versatile platform designed to enhance your everyday life. It allows users to effortlessly discover and access a wide range of services, from food and grocery purchases to digital subscriptions. MyNebor connects you with your community, offering secure group buying options, neighborhood news via reliable sources, and events, all while ensuring a private and safe environment. Through collaborative communities and split payments, users save more, engage meaningfully, and enjoy seamless access to essential services and local happenings.

Using the Services

You agree to use our Platform in accordance with these Terms and all applicable laws, regulations, and guidelines. MyNebor currently charges service fees for some product offerings, and reserves the right to modify these fees in the future. Any changes to fees will be communicated through our Platform.

Account Registration

To use our Platform, you may be required to create an Account. By registering, you agree to provide accurate, current, and complete information as requested during the registration process, and you consent to maintaining the security and confidentiality of your account credentials.

You are responsible for all activities that occur under your Account, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your account or any other security breach.

If you provide any false, inaccurate, or incomplete information, or if we have reasonable grounds to believe that your information is false, inaccurate, or incomplete, we may suspend or terminate your Account.

You may deactivate or delete your account at any time by following the instructions provided on our Platform. However, certain data associated with your account may be retained for legal or business purposes as outlined in our Privacy Policy.

Our Services

Mynebor offers a streamlined online experience, bringing essential services to your fingertips. Through our Platform, users enjoy:

Onboarding: An intuitive walkthrough of MyNebor's features and community benefits.

Registration: Simple sign-up with personal details to create a personalized profile.

Login: Secure login with multiple verification methods.

Dashboard: Centralized access to local events, group buying, and neighborhood updates.

Service Booking: Easily order groceries, food, and subscriptions.

Communication: Seamless engagement with neighbors and vendors for a connected community experience.

Eligibility

By opening an Account with us, you expressly warrant and represent that:

  1. You are 18 years of age or over and have full capacity to accept the Terms and enter any transaction available through the MyNebor Platform;
  2. You will not open or attempt to open an Account under any name except your own, or use your Account to carry out transactions on behalf of a third-party;
  3. You will follow the MyNebor account sign-up process if you seek to open and use a MyNebor account for a non-individual legal entity (e.g. a company, trust or partnership);
  4. You will not have more than one MyNebor account; use or access any MyNebor account other than your own; or assist any other person in obtaining unauthorized access to any MyNebor account;
  5. You will not use your MyNebor account for or in relation to any illegal activity, any prohibited activity, in violation of any applicable laws, or regulations - read more on our Prohibit conduct.

Availability of the Services:

We do not guarantee the continuous availability or Uptime of our Platform. The availability of our Platform may be subject to downtime, delays, and other limitations inherent in the use of the internet and electronic communications, over which MyNebor has no control.

Updates to the Services:

MyNebor may from time to time perform upgrades, updates, bug fixes, or error corrections to our Platform (collectively “Updates”). During such updates, our Platform may become temporarily unavailable. Updates are considered an integral part of our Platform and are subject to these Terms. By continuing to use our Platform after the Effective Date, you accept and agree to any such Updates.

Restrictions on Your Use of the Services:

You may use our Platform for lawful, commercial and social purposes. You agree that you will not (and you agree not to encourage or allow any third-party to):

      1. Engage in any form of fraud, including misrepresenting your identity, creating multiple accounts, or manipulating the Platform’s functionality for financial gain.
      2. Send spam, chain letters, or other unsolicited communications to other users.
      3. Engage in any activity that could harm, disrupt, or impair the operation of the Platform, including introducing viruses, malware, or other harmful code.
      4. Upload content that is misleading, false, or intended to deceive other users, including fake reviews or endorsements.
      5. Use the Platform to engage in any activities related to illegal or harmful content, such as the distribution of counterfeit goods, illicit substances, or any other materials prohibited by law.
      6. Engage in any activity that could damage, disable, overburden, or impair the Platform, including using it to engage in any form of "denial of service" attacks or similar malicious actions.
      7. Breach, test, circumvent (or attempt to breach, test or circumvent) any security, copy protection or rights management feature on the Platform or otherwise attempt to gain unauthorized access to the Platform, other users’ accounts or MyNebor’s computer systems or networks;
      8. Remove, alter, or obscure any copyright, trademark, or other intellectual property or proprietary notices contained in the Platform;
      9. Use any robot, spider, site search/retrieval application or other automated device, process or means to access, retrieve, scrape, data mine, or index any portion of the Platform;
      10. Cause or launch any programs or scripts for the purpose of unduly burdening or hindering the operation and/or functionality of any aspect of the Platform or otherwise interfere with others’ use and enjoyment of the Platform;
      11. Engage in abusive, deceptive, defamatory, fraudulent, harassing, embarrassing, hateful, libelous, obscene, pornographic, threatening, violent, or otherwise offensive or unlawful acts or behavior;
      12. Collect or store Personal Information (as defined in the Privacy Notice) about or otherwise invade the privacy of any other user without his or her express prior written consent; or
      13. Attempt to circumvent or evade any content filtering or blocking techniques we employ, or attempt to access the Platform from anywhere other than a Permitted Region, as defined below.

If you violate any of the above restrictions, MyNebor reserves the right, at its sole discretion, to take appropriate action, which may include temporarily or permanently suspending or terminating your access to the Platform, removing any content you have posted, and pursuing legal action. You agree to fully cooperate with MyNebor in any investigation or action taken to address violations of these Terms. We also reserve the right to report any unlawful activities to the appropriate authorities, including law enforcement, regulatory bodies, or other relevant entities. Your continued use of the Platform after any violation or suspension may result in additional penalties or restrictions, as determined by MyNebor.

Indemnity

You agree to indemnify, defend, and hold harmless MyNebor, its affiliates, employees, agents, licensors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including, but not limited to, reasonable attorneys’ fees) arising from:

Your use or misuse of the Platform;

Your violation of these Terms, the Privacy Policy, or any other applicable policies;

Any content you submit, post, or share on the Platform, including any claims of infringement of intellectual property or privacy rights;

Your breach of any applicable laws or regulations.

This indemnity obligation will survive the termination or expiration of your use of the Platform.

Links to Other Websites and Services

Our Platform may contain links to other websites or online services that we think may interest you (collectively, “Linked Services''). Linked Services are not under the control of MyNebor and MyNebor is not responsible for Linked Services or for any information or materials on, or any form of transmission received from, any Linked Service. The inclusion of a link does not imply endorsement by MyNebor of the Linked Services or any association with the operators of the Linked Services. MyNebor does not investigate, verify, or monitor the Linked Services. MyNebor provides links to Linked Services for your convenience only. You access Linked Services at your own risk. If you decide to use these third party services, you will be responsible for reviewing and understanding the terms and conditions associated with them. You agree that MyNebor is not responsible for the performance of these services. You may be offered services, products and promotions provided by third parties and not by MyNebor. The Website may contain links to third-party websites. The inclusion of any website link does not imply an approval, endorsement, or recommendation by MyNebor.

Third Party Payment Services Providers

Payments for services must be made in accordance with the instructions on the MyNebor Platform. Payment is processed through a third-party payment gateway selected by MyNebor. Users will be directed to the payment gateway's secure platform to complete transactions using their preferred payment method.

MyNebor utilizes a third-party payment service provider for processing payments. As such, MyNebor assumes no liability for any issues or disputes arising from payment transactions. Users acknowledge and agree that any disputes concerning payment processing, unauthorized transactions, or other payment-related matters are to be addressed directly with the third-party payment service provider or the User’s bank as the case may be.

Intellectual Property

"MyNebor.com'' and all other URLs, logos, and trademarks related to the MyNebor Services are either trademarks or registered trademarks of MyNebor or its licensors. You may not copy, imitate, or use them without MyNebor's prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, or trade dress of MyNebor. You may not copy, imitate, or use them without our prior written consent. You may use HTML logos provided by MyNebor through our merchant services, affiliate programs without prior written consent for the purpose of directing web traffic to the MyNebor Services. You may not alter, modify, or change these HTML logos in any way, use them in a manner that is disparaging to MyNebor or the MyNebor Services, or display them in any manner that implies MyNebor's sponsorship or endorsement. Alright, title, and interest in and to the MyNebor website, any content thereon, the MyNebor Services, the technology related to the MyNebor Services, and any and all technology and any content created or derived from any of the foregoing is the exclusive property of MyNebor and its licensors.

User Content and Ownership

By submitting, posting, or sharing any content on the Platform (including, but not limited to text, images, videos, reviews, and other materials), you grant MyNebor a worldwide, royalty-free, non-exclusive license to use, modify, reproduce, distribute, and display such content in connection with the operation, marketing, and improvement of the Platform and associated services. You represent and warrant that you have the necessary rights and permissions to submit such content and that it does not infringe upon any third-party intellectual property rights or violate any applicable laws.

MyNebor reserves the right to remove or disable access to any user-submitted content that, in its sole discretion, violates these Terms, is offensive, illegal, or otherwise harmful to the Platform or its users.

General Terms

      1. Limitation of Liability

To the fullest extent permitted by law, MyNebor, its affiliates, directors, employees, and agents are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from your use or inability to use our Platform. MyNebor is not responsible for any third-party actions, security breaches, or any unauthorized access to your account. In no event shall MyNebor’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the Platform during the three (3) months immediately preceding the claim.

      1. Application of Limitations

This limitation of liability applies to any damages caused by errors, omissions, interruptions, defects, delays, or failures in performance, even if such issues are caused by events within or beyond MyNebor’s control.

      1. The Service is controlled and operated from facilities in Nigeria

MyNebor makes no representations that the Platform is appropriate or available for use in other locations. Those who access or use the Platform from other jurisdictions do so at their own volition and are entirely responsible for compliance with all applicable local laws and regulations.

      1. Your Liability

Your Liability in the use of the services are as follows:

        1. General. You are responsible for all Reversals, Chargebacks, Claims, fees, fines, penalties, and other liability incurred by MyNebor, a User, or a third party caused by or arising out of your breach of this Agreement or your use of the Platform. You agree to reimburse MyNebor, a User, or a third party for any and all such liability.
        2. Liability for instructions given by you on your Account. Any instructions given by you on your Account (whether verbal or in writing) once you have been authenticated will be relied on by MyNebor. MyNebor will not be liable for any loss or damage you or anyone else suffers where MyNebor acts on those instructions in good faith.
      1. No Warranty

The MyNebor services are provided “as is” and without any representation of warranty, whether express, implied, or statutory. MyNebor, and affiliates, our officers, directors, agents, employees, and our suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement. MyNebor does not have any control over the products or services that are paid for on the Platform and MyNebor cannot ensure that a buyer or a Seller you are dealing with will actually complete the transaction or is authorized to do so. MyNebor will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, credit cards, and check issuances are processed in a timely manner but MyNebor makes no representations or warranties regarding the amount of time needed to complete processing because the MyNebor Services are dependent upon many factors outside of our control, such as delays in the banking system or mail service.

      1. No Waiver

Our failure or delay to act with respect to a breach by you or others does not waive our right to act with respect to such breach or any subsequent or similar breaches.

      1. Notices

You agree that MyNebor may communicate with you about your Account, the MyNebor Services, and this Agreement electronically. MyNebor reserves the right to close your Account if you withdraw your consent to receive electronic communications. Any electronic communications will be considered to be received by you within 24 hours of the time we post it to our platform or email it to you. Any notice sent to you by postal mail will be considered to be received by you 3 Business Days after we send it.

      1. Release of MyNebor

If you have a dispute with one or more Users, you release MyNebor and Affiliates (and their officers, directors, agents, employees, and suppliers) from any and all claims, demands, and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.

Termination

MyNebor reserves the right, at its sole discretion, to suspend or terminate your access to the Platform, without notice, if we believe that you have violated these Terms, engaged in any prohibited conduct, or for any other reason deemed appropriate by MyNebor. In the event of account suspension or termination, any rights granted to you under these Terms will immediately cease.

Upon termination, you must cease all use of the Platform and, if applicable, delete any content or materials you have posted or uploaded. MyNebor may retain certain user data for legal, business, or operational purposes as outlined in our Privacy Policy.

You may deactivate or delete your account at any time by following the process provided in the Platform. However, some information may remain in MyNebor’s records, as required by law or for legitimate business purposes.

Termination of your account does not affect any rights or obligations that accrued prior to termination.

Dispute Resolution

If a dispute arises between you and MyNebor, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. Disputes between you and MyNebor regarding the MyNebor Services may be reported to hello@mynebor.com at any time.

Mediation

If a Party determines after negotiating in good faith for a period of fourteen (14) days, that any disputes or differences which may arise between the parties out of this Agreement cannot be resolved through negotiation, such matters shall be settled by mediation. Online mediation processes may be deployed. If mediation also fails or both parties fail to agree on a mediator within another 14 days after the initial 14 days, parties shall apply to Lagos Multi-Door Court (LMDC) for dispute resolution under the LMDC Mediation Procedure Rules or such other rules mutually agreed by the Parties. The proceedings shall be conducted in English Language and the Laws of the Federal Republic of Nigeria shall apply.

Law and Forum for Dispute

Except as otherwise agreed by the parties or as described in this provision, you agree that any claim or dispute you may have against MyNebor must be resolved by a court located in Nigeria or where the defendant is located. You agree to submit to the personal jurisdiction of the courts located within Nigeria for the purpose of litigating all such claims or disputes. This Agreement shall be governed in all respects by the laws of Nigeria as such laws are applied to agreements entered into and to be performed entirely within Nigeria, without regard to conflict of law provisions.

Confidentiality

All Alternative Dispute Resolution (ADR) proceedings and all information submitted, relating to or presented in connection with or during the proceeding, shall be deemed confidential information not to be disclosed to any person not a party to the proceedings. All communications, whether written or oral, made in the course of or in connection with the Claim and its resolution, by or on behalf of any party or by the arbitrator or a mediator, including any arbitration award or judgment related thereto, are confidential and inadmissible for any purpose, including impeachment or estoppel, in any other litigation or proceeding; provided that evidence shall not be rendered inadmissible or non-discoverable solely as a result of its use in the dispute resolution proceedings.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement and understanding between you and MyNebor with respect to their subject matter and supersede any and all earlier discussions, agreements, and understandings of any kind between you and MyNebor (including but not limited to any earlier versions of these Terms).

Severability

If any provision of these Terms, as amended from time to time, is determined to be illegal, invalid, or unenforceable in whole or in part under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms but the legality, validity, and enforceability of the other provisions in these Terms shall not be affected and everything else in these Terms will continue in full force and effect. In the event that any provision or part thereof of these Terms is determined to be illegal, invalid, or unenforceable, that provision or part thereof shall be replaced by the parties with a legal, valid, and enforceable provision or part thereof that has, to the greatest extent possible, a similar effect as the illegal, invalid, or unenforceable provision, given the content and purpose of these Terms.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without MyNebor’s prior written approval. You give MyNebor approval to assign or transfer these Terms in whole or in part, including but not limited to:

(i) a subsidiary or affiliate; (ii) an acquirer of MyNebor’s assets, business, or equity; or (iii) a successor by merger.

Change of control

In the event that MyNebor is acquired by or merged with a third party, we reserve the right to transfer or assign the information we have collected from you as part of such merger, acquisition, sale, or other change of control.

Force Majeure

MyNebor shall not be liable for any delays, failure in performance, or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, any delay or failure due to any act of God, act of terrorists, civil disturbance, act of civil or military authorities, failure of equipment or software, fire, strike or other labor dispute, interruption in telecommunications or Internet services or network provider services, war, or catastrophe or any other occurrence which is beyond our reasonable control.

Survival

All provisions of these Terms that by their nature extend beyond the expiry or termination of these Terms, including but not limited to, sections relating to the suspension or termination of your MyNebor Account, use of the MyNebor Platform, intellectual property, disputes with MyNebor, and general provisions, shall survive the termination of these Terms.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

Changes to the Terms of Use

MyNebor reserves the right to modify, amend, or update these Terms at any time, in its sole discretion. Any changes to these Terms will be effective immediately upon posting on the Platform, and the "Effective Date" at the top of the Terms will be updated accordingly.

We will make reasonable efforts to notify users of significant changes to these Terms, such as by sending an email or providing a prominent notice within the Platform. However, it is your responsibility to review these Terms regularly for updates.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree with any changes, you must cease using the Platform.
